SE Sandbox Terms of Service

Effective date: October 19, 2026

These Terms of Service ("Terms") are an agreement between Axiom API LLC, a Colorado limited liability company ("Axiom," "we," "us," or "our"), and the business entity that signs up for or uses the SE Sandbox service ("Client," "you," or "your"). SE Sandbox is a service of Axiom API LLC, offered through www.axiomapi.io (the "Website").

By creating an account, subscribing, uploading documents, or otherwise using SE Sandbox, you agree to these Terms. If you are accepting on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, do not use the service.

1. The Service

SE Sandbox provides automated compliance screening and audit of project documents for commercial and industrial (C&I) solar projects in Texas (the "Service"). You upload project documents, and the Service returns a screening report that flags items for your review (each, a "Report").

2. Not Engineering Services; No Engineer of Record

Please read this section carefully.

  1. SE Sandbox is not the Engineer of Record. Axiom does not act as the engineer of record for any project and does not provide professional engineering services.
  2. No stamps, seals, or certification. Axiom does not stamp, seal, sign, or certify any plans, drawings, calculations, or other documents, and no Report is a stamped, sealed, or certified engineering document.
  3. Screening only. Each Report is an automated screening intended to support your own review by a professional engineer licensed in the applicable jurisdiction. A Report does not replace that review, and it may not identify every issue in a project.
  4. You remain responsible. You and your licensed professionals remain solely responsible for project design, engineering judgment, code compliance, permitting, interconnection, construction, and every decision made using a Report.
  5. No guarantee of acceptance. Axiom does not guarantee that any authority having jurisdiction (AHJ), utility, inspector, financier, or other third party will accept a project, permit application, or interconnection request, whether or not a Report was used.

3. Reports and Permitted Use

  1. Client entity on Reports. Reports are issued under your legal entity name for your internal use and for use on your own projects.
  2. No resale or brokering. You may not sell, resell, sublicense, broker, or otherwise provide Reports or access to the Service to third parties as a standalone product or service.
  3. No misrepresentation. You may not represent any Report, or any part of one, as engineering work, an engineering opinion, or a stamped, sealed, or certified document of SE Sandbox or Axiom, and you may not state or imply that Axiom has reviewed or endorsed a project.
  4. Sharing with project stakeholders. You may share a Report with your own licensed engineers, employees, contractors, and project stakeholders who need it for the project, provided they are told it is an automated screening and not engineering work by Axiom.

4. Accounts

You are responsible for keeping your login credentials secure, for all activity under your account, and for making sure the people you give access to follow these Terms. Tell us promptly at JMariano@axiomapi.io if you believe your account has been accessed without permission.

5. Plans, Fees, and Billing

  1. Retainer. The standard plan is a retainer of $3,000 per month, which includes five (5) audits per monthly billing period.
  2. Additional audits. Audits beyond the five included in a billing period are $600 per additional audit. Additional audits are billed on your next monthly invoice.
  3. Unused audits. Included audits that are not used in a billing period do not roll over to later periods and are not refundable.
  4. Minimum term. Each subscription has a minimum term of three (3) months from the subscription start date (the "Minimum Term"). After the Minimum Term, the subscription continues month to month until cancelled.
  5. Billing and payment processor. Fees are billed in advance each month through Stripe, our payment processor, and are charged to the payment method on file. You authorize us, through Stripe, to charge that payment method for all fees when due. You can update your payment method, billing details, and tax ID, and view invoices, in the customer billing portal.
  6. Taxes. Fees do not include taxes. You are responsible for any sales, use, or similar taxes that apply to the Service, other than taxes on Axiom's income.
  7. Price changes. We may change fees for future billing periods by giving you at least thirty (30) days' notice by email. Price changes do not apply during your current Minimum Term.

6. Late Payment and Suspension

  1. Late payment. If a payment fails or an invoice is not paid when due, we will notify you and may retry the charge. Unpaid amounts may accrue a late charge of 1.5% per month or the highest rate allowed by law, whichever is lower, from the due date until paid.
  2. Suspension for non-payment. If any amount remains unpaid more than fifteen (15) days after we notify you, we may suspend your access to the Service, including new audits and Reports, until all past-due amounts are paid. Fees continue to accrue during a suspension for non-payment.
  3. Collection costs. You agree to pay reasonable costs we incur to collect past-due amounts, including reasonable attorneys' fees, to the extent allowed by law.

7. Cancellation, Termination, and Refunds

  1. During the Minimum Term. You may not cancel for convenience during the Minimum Term. If you end your subscription early, or we end it because of your breach, the retainer fees for the remainder of the Minimum Term become due.
  2. After the Minimum Term. After the Minimum Term, you may cancel at any time through the customer billing portal or by emailing JMariano@axiomapi.io. Cancellation takes effect at the end of the current billing period, and you keep access to the Service until then.
  3. No prorated refunds. Fees already paid are non-refundable, and we do not provide prorated refunds or credits for partial billing periods or unused audits, except where required by law.
  4. Termination for breach. Either party may terminate these Terms if the other party materially breaches them and does not cure the breach within thirty (30) days after written notice. We may suspend or terminate immediately, with notice, if you violate Section 3 (Reports and Permitted Use) or Section 9 (Restrictions), or if your use creates a legal or security risk to the Service or others.
  5. Effect of termination. When your subscription ends, your right to use the Service stops. Amounts owed before termination remain payable. We handle your uploaded documents and Reports as described in our Privacy Policy. Sections 2, 3, 8 through 14, and any other terms that by their nature should survive will survive termination.

8. Your Documents and Confidentiality

  1. Your content. You keep ownership of the project documents and other materials you upload ("Client Content").
  2. License to process. You grant Axiom a limited, non-exclusive, non-transferable license to host, copy, process, and analyze Client Content solely to provide, maintain, secure, and support the Service for you, and as otherwise required by law.
  3. Your rights to upload. You confirm that you have the rights and permissions needed to upload Client Content and to let us process it, including any personal information about third parties it contains.
  4. Confidentiality. We treat Client Content and Reports as confidential. We will not disclose them to third parties except to our service providers who need access to help us run the Service and who are bound by confidentiality obligations, or where required by law or legal process. Where the law allows, we will tell you before making a legally required disclosure.
  5. Your obligations. You will keep confidential any non-public information about the Service that we share with you, including pricing offered specifically to you and any non-public product information.

9. Axiom Intellectual Property and Restrictions

  1. Our property. Axiom and its licensors own all rights, title, and interest in and to the Service, the Website, and all related software, methods, processes, rule sets, templates, report formats, documentation, and branding, along with all improvements to them ("Axiom IP"). These Terms do not transfer any Axiom IP to you. All rights not expressly granted are reserved.
  2. Your access. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes.
  3. Restrictions. You may not, and may not allow anyone else to: (a) reverse engineer, decompile, disassemble, or attempt to derive the source code, rule sets, methods, or logic of the Service; (b) copy, modify, or create derivative works of the Service; (c) use the Service or Reports to build or train a competing product or service; (d) scrape, probe, or test the Service in bulk to extract its rules or methods; (e) bypass or interfere with security, usage limits, or access controls; or (f) use the Service for any unlawful purpose.
  4. Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.

10. Disclaimer of Warranties

THE SERVICE AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, AXIOM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS. AXIOM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT A REPORT WILL IDENTIFY EVERY ISSUE OR CODE REQUIREMENT, OR THAT ANY PROJECT WILL BE ACCEPTED BY AN AHJ, UTILITY, OR OTHER THIRD PARTY.

11. Limitation of Liability

  1. No indirect damages. TO THE FULLEST EXTENT ALLOWED BY LAW, AXIOM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, PROJECT DELAYS, REDESIGN OR REWORK COSTS, PERMIT OR INTERCONNECTION DENIALS, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
  2. Cap. TO THE FULLEST EXTENT ALLOWED BY LAW, AXIOM'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, ANY REPORT, OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID TO AXIOM FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
  3. These limits apply to all theories of liability, including contract, tort (including negligence), and strict liability, and they are an essential part of the bargain between the parties.

12. Indemnity

You will defend, indemnify, and hold harmless Axiom and its members, managers, employees, and contractors from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your projects, including their design, engineering, permitting, interconnection, installation, and operation; (b) your use of the Service or any Report, including reliance on a Report without independent review by a licensed professional engineer; (c) Client Content, including any claim that it infringes or violates a third party's rights or privacy; (d) any representation that a Report is engineering work or a stamped, sealed, or certified document of Axiom; or (e) your breach of these Terms or applicable law. We will give you prompt notice of a claim and reasonable cooperation, at your expense, and you may not settle a claim that imposes obligations on Axiom without our written consent.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in El Paso County, Colorado, and each party consents to the jurisdiction of those courts.

14. General

  1. Changes to these Terms. We may update these Terms from time to time. If we make a material change, we will notify you by email or through the Service at least thirty (30) days before it takes effect. Changes will not shorten or extend your current Minimum Term. Continuing to use the Service after the effective date means you accept the updated Terms. If you do not agree to a change, you may cancel as described in Section 7.
  2. Notices. We may send notices to the email address on your account. You may send notices to us at JMariano@axiomapi.io or by mail to 5142 N. Academy Blvd, Colorado Springs, CO 80918.
  3. Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
  4. Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than your obligation to pay fees.
  5. Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
  6. Entire agreement. These Terms, together with our Privacy Policy and any order form or written agreement signed by both parties, are the entire agreement about the Service. If a signed agreement conflicts with these Terms, the signed agreement controls.
  7. Severability and waiver. If any part of these Terms is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.
